4. Resolution 1 – Adoption of Remuneration
Report
4.1 General
In accordance with subsection 250R(2) of the
Corporations Act, the Company must put the
Remuneration Report to the vote of
Shareholders. The Directors’ Report contains
the Remuneration Report which sets out the
remuneration policy for the Company and the
remuneration arrangements in place for the
executive Directors, specified executives and
non-executive Directors.
In accordance with subsection 250R(3) of the
Corporations Act, Resolution 1 is advisory only
and does not bind the Directors.
If Resolution 1 is not passed, the Directors will not
be required to alter any of the arrangements in
the Remuneration Report.
If the Company’s Remuneration Report
receives a ‘no’ vote of 25% or more (Strike) at
EXPLANATORY MEMORANDUM
Battery Age Minerals Limited – 2026 Annual General Meeting 5
two consecutive annual general meetings, the
Company will be required to put to
Shareholders at the second annual general
meeting a resolution on whether another
meeting should be held (within 90 days) at
which all Directors (other than the managing
director, if any) who were in office at the date
of approval of the applicable Directors’ Report
must stand for re-election.
The Company's Remuneration Report did not
receive a Strike at the 2025 annual general
meeting held on 26 November 2025 (2025
AGM).
At the 2025 AGM, 99.52% of votes cast in
respect of the Remuneration Report were in
favour of the Company’s Remuneration
Report. The Company did not receive any
specific feedback at the 2025 AGM on its
remuneration practices.
If the Remuneration Report receives a Strike at
this Meeting, Shareholders should be aware
that if a second Strike is received at the 2027
annual general meeting, this may result in the
re-election of the Board.
The Chair will allow a reasonable opportunity
for Shareholders as a whole to ask about or
make comments on the Remuneration Report.
4.2 Board recommendation
Resolution 1 is an ordinary resolution.
Given the personal interests of all Directors in
this Resolution, the Board makes no
recommendation to Shareholders regarding
this Resolution.
5. Resolution 2 – Election of Director – Mr
Raunaq Miah
5.1 General
Clause 15.4 of the Constitution provides that
the Directors may at any time appoint any
person to be a Director, either to fill a casual
vacancy or as an addition to the existing
Directors.
Clause 15.4 of the Constitution and Listing Rule
14.4 both provide that any Director (other than
the Managing Director) appointed under
Clause 15.4 must not hold office without re-
election past the next annual general meeting
of the Company following the Director's
appointment.
Further, Clause 15.4 of the Constitution provides
that a Director who retires in accordance with
Clause 15.4 of the Constitution holds office until
the conclusion of the Meeting but is eligible for
election at the Meeting.
Accordingly, Mr Raunaq Miah, the Non-
Executive Director of the Company who was
appointed on 16 April 2026, retires at this
Meeting and, being eligible and offering
himself for election, seeks election pursuant to
this Resolution 2.
5.2 Raunaq Miah
Mr Miah is a commercially focused professional
with experience spanning M&A advisory,
capital markets, institutional operations and
business development.
He has consulted to companies in the
technology, resources, energy and healthcare
sectors, including on cross-border transactions
involving ASX, TSX, CSE and LSE listed entities. He
has assisted organisations through the
assessment and integration of emerging
technologies across mining, semiconductors
and industrial technology, expertise that
directly aligns with Battery Age's growth
agenda.
Prior to his consulting career, Mr Miah held roles
with Australian Investment Exchange Ltd
(AUSIEX) and Allianz Australia. He holds a
Bachelor of Commerce (Entrepreneurship)
from Macquarie University. The Board considers
that Mr Miah is an independent Director.
The Company confirms that, with Mr Miah’s
consent, it took appropriate checks into Mr
Miah’s background and experience and that
these checks did not identify any information of
concern.
If elected, Mr Miah is considered by the Board
(with Mr Miah abstaining) to be an
independent director of the Company. Mr
Miah is not considered by the Board to hold any
interest, position or relationship that might
influence, or reasonably be perceived to
influence, in a material respect his capacity to
bring an independent judgement to bear on
issues before the Board and to act in the best
interests of the entity as a whole rather than in
the interests of an individual security holder or
other party.
Mr Miah has acknowledged to the Company
that he will have sufficient time to fulfil his
responsibilities as a Director.
5.3 Board recommendation
The Board (other than Mr Miah who has a
personal interest in the outcome of this
EXPLANATORY MEMORANDUM
Battery Age Minerals Limited – 2026 Annual General Meeting 6
Resolution) supports the election of Mr Miah
and recommends that Shareholders vote in
favour of this Resolution. The Directors consider
Mr Miah’s skills and experience are valuable to
the Board’s existing skills and experience.
5.4 Additional information
Resolution 2 is an ordinary Resolution.
If Resolution 2 is passed, Mr Raunaq Miah will be
elected as a Non-Executive Director of the
Company.
If Resolution 2 is not passed, Mr Raunaq Miah
will not be elected as a Non-Executive Director
of the Company.
6. Resolution 3 – Re-Election of Director – Dr
David Pevcic
6.1 General
Clause 15.2 of the Constitution requires that
one-third of the Directors (excluding the
managing director and Directors seeking
election under Clause 15.4 of the Constitution)
must retire at each annual general meeting (or
if that is not a whole number, the whole number
nearest to one third). In accordance with
Clause 15.2, the Director retiring under Clause
15.2 is the Director who has served the longest
without re-election who retires. If 2 or more
Directors have been a Director the longest and
an equal time without re-election, then in
default of agreement, the Director to retire will
be determined by drawing lots unless the
Directors agree otherwise.
Clause 15.2 of the Constitution provides that a
Director who retires in accordance with Clause
15.2 is eligible for re-election and that re-
election takes effect at the conclusion of the
Meeting.
Accordingly, Dr David Pevcic, a Non-Executive
Director appointed on 31 January 2023 and last
elected at the Company’s 2024 annual
general meeting, retires at this Meeting, and
being eligible, seeks re-election pursuant to
Resolution 3.
6.2 Dr David Pevcic (Non-Executive
Chairman)
Dr David Pevcic is an experienced corporate
professional and investor with a principal focus
on the resources and technology sectors.
Dr Pevcic is the Non Executive Chairman of
Battery Age Minerals Ltd (ASX: BM8), Executive
Chairman of Nanoveu Limited (ASX: NVU) and
Non-Executive Chairman of Infini Resources
Limited (ASX: I88).
Dr Pevcic holds a Bachelor of Science,
Bachelor of Medicine and Bachelor of Surgery
from the University of Western Australia.
If re-elected, Dr Pevcic is considered by the
Board (with Dr Pevcic abstaining) to be an
independent Director. During the 2026 financial
year, Dr Pevcic ceased to be a substantial
holder of the Company. The Board has
subsequently reviewed Dr Pevcic's
independence having regard to the factors set
out in Box 2.3 of the ASX Corporate
Governance Council's Corporate Governance
Principles and Recommendations (4th Edition).
In undertaking its assessment, the Board
considered the Chairman's current
shareholding, his previous status as a substantial
holder (5.06%), and whether these interests
could materially interfere, or reasonably be
perceived to interfere, with his capacity to
exercise independent judgement and act in
the best interests of the Company and its
shareholders as a whole. The Board also
considers that Dr Pevcic's current shareholding
aligns his interests with those of shareholders
generally and does not give rise to a material
interest that would compromise his ability to
exercise independent judgement. Having
considered these matters, the Board has
determined that the Chairman's shareholding
and previous status as a substantial holder do
not compromise his independence. Dr Pevcic
is not considered by the Board to hold any
interest, position or relationship that might
influence, or reasonably be perceived to
influence, in a material respect his capacity to
bring an independent judgement to bear on
issues before the Board and to act in the best
interests of the entity as a whole rather than in
the interests of an individual security holder or
other party.
Dr Pevcic has acknowledged to the Company
that he will have sufficient time to fulfil his
responsibilities as a Director.
If Resolution 3 is passed, Dr Pevcic will be re-
elected as a Director. If Resolution 3 is not
passed, Dr Pevcic will not be re-elected as a
Director and Chairman.
6.3 Board recommendation
The Board (other than Dr Pevcic who has a
personal interest in the outcome of this
Resolution) supports the re-election of Dr
Pevcic and recommends that Shareholders
vote in favour of this Resolution. The Directors
EXPLANATORY MEMORANDUM
Battery Age Minerals Limited – 2026 Annual General Meeting 7
consider Dr Pevcic’s skills and experience are a
valuable addition to the Board’s existing skills
and experience.

to satisfying the requirements of the 10%
Placement Facility ASX conditions.

not be able to access the additional 10%
capacity to issue Equity Securities without
Shareholder approval under Listing Rule 7.1A
